These terms and conditions outline the rules and regulations for the use of website mints.team operated by Smith Business Solutions SRL. Smith Business Solutions SRL has registered offices at sat Predesti, com. Tinosu, nr. 13, Prahova, Romania, registration number RO33734100.
By accessing this website we assume you accept these terms and conditions in full. Do not continue to use mints.team website if you do not accept all of the terms and conditions stated on this page.
The following terminology applies to these Terms and Conditions, Privacy Policy and any or all Agreements: “Client”, “You” and “Your” refers to you, the person accessing this website and accepting the Company’s terms and conditions. “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to our Smith Business Solutions SRL. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves, or either the Client or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing law of Romania. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.
1. Cookies
Our website employs cookies. By using mints.team website you consent to the use of cookies in accordance with Smith Business Solutions’s privacy policy. Most of the modern day interactive websites use cookies to enable retrieving user details for each visit. Cookies are used in some areas of our site to enable the functionality of this area and ease of use for those people visiting. Some of our affiliate partners may also use cookies.
2. License
Unless otherwise stated, Smith Business Solutions and/or it’s licensors own the intellectual property rights for all material on mints.team. All intellectual property rights are reserved.
All source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics of any nature and regardless of format (herein, collectively or individually, the “Content”) and the trademarks, service marks, and logos contained there (the “Marks”) are owned and controlled by Smith Business Solution and are protected by copyright and trademark laws and any other applicable intellectual property law or regulation of Romania, foreign jurisdictions and international conventions. You may view and/or print pages from mints.team for your own personal use subject to restrictions set in these terms and conditions.
You must not:
- Republish material from mints.team
- Sell, rent or sub-license material from mints.team
- Reproduce, duplicate or copy material from mints.team
- Redistribute content from mints.team (unless content is specifically made for redistribution).
3. Ownership of Materials
All design and original source files created on Client’s behalf (“Projects”) belong to Client, and Client shall be the sole owner of the copyright for all Projects. In the event that any operation of law would cause Smith Business Solutions to become the owner of a Project, in whole or in part, rather than Client, Smith Business Solutions irrevocably and perpetually assigns its entire interest in the Project to Client, without limitation. Client warrants that any and all materials provided to Smith Business Solutions as examples or as material to be incorporated into a project during the design process are owned by Client and do not infringe on or misappropriate any third party’s rights, including, but not limited to, all intellectual property rights and any right of publicity. Smith Business Solutions always reserves the right to share the Client’s design work publicy (social media, website, etc.) unless agreed otherwise.
4. Third Party Fonts
In the event that any Project incorporates fonts that are not owned by the Cleint and require a commercial license in order for Client to legally reproduce, distribute, or publicly display the Project (“Third-Party Font(s)”), Smith Business Solutions SRL will inform Client in writing that one or more Third-Party Fonts have been incorporated into the Project and that Client will need to purchase one or more licenses for the Third-Party Fonts from the rights-holder(s) of said Third Party Fonts in order to legally reproduce, distribute, or publicly display the Project. Said notice will include information sufficient for Client to identify which licenses are required and who to contact in order to purchase said licenses. So long as Smith Business Solutions has informed Client of the incorporation of Third-Party Fonts as described above, Client assumes all responsibility for any consequences as a result of a failure by Client to purchase one or more licenses for any Third-Party Fonts incorporated into a Project.
5. Client Feedback
Client acknowledges and agrees that any questions, comments, suggestions or other feedback or submission (each a “Submission”) shall be the sole property of Smith Business Solutions and Smith Business Solutions is under no obligation to keep a Submission confidential or take steps necessary to ensure the confidentiality of a Submission. Smith Business Solutions shall be the sole and exclusive owner of all rights related to the Submission except to the extent that rights are granted to Client under Paragraph 3 (“Ownership of Materials”), and shall at its sole and unrestricted discretion use and disseminate a Submission for any lawful purpose without permission, acknowledgment or compensation of or to the Client. Client agrees that it has the right to articulate and put forth the Submission and Client hereby waives all claims and recourse against Smith Business Solutions for its use of the Submission in accordance with the terms hereof and in its sole discretion hereafter.
6. User Representations
By using the Website, Client represents and warrants that: Client has the legal capacity and agrees to comply with these Terms of Use; Client is not a minor in the jurisdiction of their domicile; Client will not access the Website through automated or non-human means; Client will not use the Website for any illegal or unauthorized purpose; Client’s use of the Website will not violate any applicable law or regulation.
7. Returns and Refunds
Smith Business Solutions reserves the right to deny refunds based on its own self discretion and without notice or liability to Client. Refund requests are assessed on a case by case basis. Should Client request a refund during the first month of use, all materials produced by Smith Business Solutions are ownership of the company and are prohibited from being used by the Client in any way. Smith Business Solutions reserves the right to take appropriate legal actions against Client for breach of this paragraph.
8. Reservation of Rights
We reserve the right at any time and in its sole discretion to request that you remove all links or any particular link to our website. You agree to immediately remove all links to our website upon such request. We also reserve the right to amend these terms and conditions and its linking policy at any time. By continuing to link to our Web site, you agree to be bound to and abide by these linking terms and conditions.
9. Removal of links from our website
If you find any link on our website or any linked web site objectionable for any reason, you may contact us about this. We will consider requests to remove links but will have no obligation to do so or to respond directly to you. Whilst we endeavor to ensure that the information on this website is correct, we do not warrant its completeness or accuracy; nor do we commit to ensuring that the website remains available or that the material on the website is kept up to date.
10. User Data
Client is solely responsible for all data transmitted to or that relates to any activity Client has undertaken using the mints.team website. Smith Business Solutions shall have no liability to Client for any loss or corruption of any such data and Client hereby waives any right of action against Smith Business Solutions from any such loss or corruption.
11. Showcasing Work
Smith Business Solutions reserves to right to share design work on digital channels including social media, website, etc. unless otherwise agreed upon. The Client reserves the right to issue an NDA between themselves and Smith Business Solutions, which in turn would void the right of Smith Business Solutions to share or discuss Client’s work publicly.
12. Variation of Terms
Smith Business Solutions SRL is permitted to revise these Terms at any time as it sees fit, and by using this website you are expected to review such Terms on a regular basis to ensure you understand all terms and conditions governing use of this website.
13. Assignment
Smith Business Solutions SRL shall be permitted to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification or consent required. However, you shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.
14. Entire Agreement
These Terms, including any legal notices and disclaimers contained on this Website, constitute the entire agreement between Smith Business Solutions SRL and you in relation to your use of this website, and supersede all prior agreements and understandings with respect to the same.
15. Governing Law & Jurisdiction
These Terms will be governed by the laws applicable in Romania. Any action shall be brought exclusively in the courts located in Bucharest and you hereby consent to such jurisdiction and venue to the extent permitted by applicable law.
